These Terms of Service govern your access to and use of software, websites, cloud services, desktop applications, and related offerings provided by SOLASTIA SYSTEMS (PRIVATE) LIMITED, a company incorporated in the Islamic Republic of Pakistan. By creating an account, installing our software, connecting third-party services, or otherwise using our products, you agree to these Terms. If you do not agree, do not use our services.
1. About us
SOLASTIA SYSTEMS (PRIVATE) LIMITED develops and provides software development services, IT consultancy, artificial intelligence solutions, cloud systems, and business software for inventory, point-of-sale, accounting, operations management, and related workflows. Our offerings may include web applications, locally installed desktop software, cloud-hosted services, licensing and subscription management, optional social media marketing tools, and other digital products we may release from time to time.
References to “Solastia,” “we,” “us,” or “our” mean SOLASTIA SYSTEMS (PRIVATE) LIMITED. Registered office: Basement No 03 Al Malik Complex Blue Area G-7/3, Islamabad, Islamabad Capital Territory, 44000, Pakistan.
2. Definitions
- Services means all software, websites, APIs, cloud platforms, desktop applications, documentation, updates, and support we make available.
- Customer or you means the individual or legal entity that registers for, licenses, or uses the Services.
- Account means a registered user profile used to access the Services.
- Customer Data means business records, product information, transactions, files, and other content you or your users submit to or process through the Services.
- Third-Party Platforms means external services you choose to connect, including social networks and advertising platforms such as Meta (Facebook and Instagram), TikTok, and other integrations we may support in the future.
3. Eligibility
You must be at least eighteen years of age and have the legal authority to enter into a binding agreement on behalf of yourself or the organization you represent. If you use the Services on behalf of a business, you confirm that you are authorized to bind that business to these Terms. You are responsible for ensuring that your use complies with applicable laws in your jurisdiction.
4. Our services
We provide software and related services to help businesses manage inventory, sales, purchases, finance, reporting, and optional marketing activities, as well as custom software, AI, and cloud engagements. Depending on your plan and deployment, Services may include:
- Web applications accessible through a browser;
- Desktop applications installed on your computers;
- Cloud synchronization, licensing, and administration services;
- Optional modules for connecting to Third-Party Platforms to publish or schedule content on your connected social media accounts;
- Documentation, updates, and customer support as described in your agreement or plan.
Features may vary by product edition, subscription tier, deployment mode, and region. We may add, modify, or discontinue features with reasonable notice where practicable. Beta or preview features may be offered on an as-is basis and may change without notice.
5. Accounts and security
You must provide accurate registration information and keep it current. You are responsible for maintaining the confidentiality of login credentials, license keys, API keys, and access tokens associated with your Account. You must notify us promptly at contact@solastiasystems.com if you suspect unauthorized access. We are not liable for losses arising from compromised credentials that result from your failure to safeguard them.
We may suspend or restrict access to protect the Services, other customers, or if we reasonably believe these Terms have been violated.
6. Software licenses
Unless otherwise agreed in writing, we grant you a limited, non-exclusive, non-transferable, revocable license to use our software solely for your internal business operations and in accordance with these Terms and any applicable order, subscription, or license documentation.
Desktop and device-based licenses may be subject to machine limits, expiry dates, grace periods, and activation requirements enforced through our licensing systems. You may not copy, modify, reverse engineer, decompile, sublicense, rent, or resell the software except as expressly permitted by us in writing.
7. Subscriptions, fees, and payment
Paid Services are billed according to the pricing, billing cycle, and payment method agreed at the time of purchase or renewal. Fees are stated in the currency specified in your invoice or order unless otherwise agreed. Unless required by applicable law or expressly stated otherwise, fees are non-refundable.
Failure to pay may result in suspension or termination of access. We may change pricing for future billing periods with notice before renewal. Continued use after a price change constitutes acceptance of the new pricing for the renewed term.
8. Third-party platform integrations
Certain Services allow you to connect Third-Party Platforms so that content may be published, scheduled, or managed on accounts you control. By enabling an integration, you authorize us to access and use the permissions you grant through that platform’s authorization process, solely to provide the requested functionality.
Your use of Third-Party Platforms remains subject to their own terms, policies, and community standards. We do not control those platforms and are not responsible for their availability, actions, account restrictions, content moderation decisions, or policy enforcement. You are solely responsible for the content you publish and for ensuring you have rights to use any images, product descriptions, pricing, trademarks, or other materials included in posts or listings.
We may add, change, or remove integrations as platform APIs evolve. Integrations currently or planned may include Meta services, TikTok, and other social or commerce platforms offered in the product from time to time.
9. Acceptable use
You agree not to:
- Use the Services for unlawful, fraudulent, deceptive, or harmful purposes;
- Upload or transmit malware, spam, or content that infringes intellectual property or privacy rights;
- Attempt to gain unauthorized access to our systems, other accounts, or Third-Party Platforms;
- Interfere with or disrupt the integrity or performance of the Services;
- Use the Services to send unsolicited promotional messages in violation of applicable law;
- Misrepresent your identity, affiliation, or authorization when using social integrations;
- Circumvent license, usage, or security controls.
We may investigate violations and cooperate with law enforcement where required. Repeated or serious violations may result in immediate termination.
10. Customer data and content
You retain ownership of Customer Data. You grant us a limited license to host, process, transmit, back up, and display Customer Data only as necessary to operate, secure, and improve the Services, provide support, and fulfill legal obligations. You are responsible for the accuracy, quality, and legality of Customer Data and for obtaining any consents required for its collection and use.
You are responsible for maintaining your own backups of business-critical information, especially when using offline or locally hosted deployments. Our data handling practices are described in our Privacy Policy.
11. Intellectual property
The Services, including software, design, logos, documentation, and underlying technology, are owned by SOLASTIA SYSTEMS (PRIVATE) LIMITED or its licensors and are protected by applicable intellectual property laws. No rights are granted except as expressly stated in these Terms. Feedback you provide may be used by us without restriction or compensation.
12. Service availability and support
We strive to maintain reliable Services but do not guarantee uninterrupted or error-free operation. Maintenance, upgrades, network failures, third-party outages, and events beyond our reasonable control may cause temporary unavailability. Support scope and response times depend on your plan and any separate support agreement.
Locally installed software may operate without continuous internet connectivity depending on deployment configuration. Cloud-dependent features, including synchronization, licensing check-ins, and social media publishing, require internet access.
13. Disclaimer of warranties
To the maximum extent permitted by applicable law, the services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the services will meet your requirements, that results will be accurate or reliable, or that defects will be corrected.
14. Limitation of liability
To the maximum extent permitted by applicable law, solastia systems (private) limited and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to the services or these terms, even if advised of the possibility of such damages.
Our total aggregate liability for all claims arising out of or related to the services or these terms shall not exceed the amount you paid us for the services giving rise to the claim during the twelve months immediately preceding the event, or, if no fees were paid, one hundred United States dollars equivalent in Pakistani rupees at the time of the claim.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
15. Indemnification
You agree to defend, indemnify, and hold harmless SOLASTIA SYSTEMS (PRIVATE) LIMITED and its personnel from claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your Customer Data, your content published through Third-Party Platforms, or your violation of these Terms or applicable law.
16. Term and termination
These Terms remain in effect while you use the Services. You may stop using the Services at any time. We may suspend or terminate access for material breach, non-payment, legal requirement, or to protect the Services. Upon termination, your license to use the software ends except where local law requires continued access to export Customer Data. Provisions that by nature should survive termination will survive, including payment obligations, intellectual property, disclaimers, limitations of liability, and indemnification.
17. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will provide notice through the Services, by email to your registered address, or by posting an updated version on our website with a revised effective date. Continued use after the effective date constitutes acceptance of the updated Terms.
18. Governing law and disputes
These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts in Islamabad, Pakistan, unless mandatory consumer protection law in your jurisdiction requires otherwise.
19. General
These Terms constitute the entire agreement between you and SOLASTIA SYSTEMS (PRIVATE) LIMITED regarding the Services and supersede prior understandings on the same subject. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
